University Secretary

United States International University-Africa, is a Higher Learning Institution based in Nairobi, Kenya and is the most diverse university in East and Central Africa with about 7,000 students from over 60 nations, and a global network of more than 25,000 alumni. USIU-Africa is the only university in Sub-Saharan Africa whose degree programs are accredited by both the Kenya Government through the Commission for University Education (CUE), and by the American Government through the WASC Senior Colleges and Universities Commission (WSCUC).

  • University Secretary
Job Summary:

The University Secretary is responsible for ensuring the University complies with legal, regulatory, and governance requirements as stipulated by the relevant Laws (including the Companies Act, Universities Act, and relevant regulatory authorities such as the Commission for University Education – CUE and WASC Senior Colleges and Universities Commission -WSCUC). The position also supports the governing bodies of the University, ensuring effective decision-making, documentation, and communication at the highest levels.

Key Responsibilities:

1. Governance and Compliance

  • Serve as the primary advisor to the University Council, Management Board and Senate on matters of corporate governance and legal compliance.
  • Ensure the University complies with all statutory and regulatory requirements including filings with CUE, Ministry of Education.
  • Coordinate the preparation and filing of statutory returns and maintenance of statutory books (e.g., register of members, directors, trustees, minutes).

2. Board and Council Administration

  • Organize and attend meetings of the University Council, Management Board, Senate, and their respective committees.
  • Prepare and circulate notices, agendas, minutes, and resolutions in accordance with governing documents and best practices.
  • Ensure that proper procedures are followed in the appointment, induction, and removal of Council members.

3. Legal and Regulatory Advisory

  • Advise on the legal implications of strategic decisions and University policies.
  • Ensure that University operations are conducted within the applicable legal framework.

4. Records and Document Management

  • Maintain confidential and secure custody of official documents i.e Council minutes and resolutions
  • Ensure up-to-date University documentation.

5. Risk Management and Ethics

  • Assist in the development and implementation of governance frameworks and risk management systems.
  • Promote ethical conduct and compliance with University codes of conduct.
Educational/Professional Qualifications and Experience;
  • Master’s degree in Business related studies, Communications or International Relations from an accredited University.
  • Bachelor of Laws (LLB) degree from a recognized institution.
  • Certified Public Secretary (CPS-K) and a valid practicing certificate from the Institute of Certified Secretaries (ICS), Kenya.
  • Advocate of the High Court of Kenya (preferred).
  • Minimum of 7 years' relevant experience, at least 3 of which should be at a senior level in a similar capacity preferably in a University
  • Demonstrated knowledge of university governance, regulatory compliance, and corporate law.
  • Experience in analyzing information and producing high-quality written materials on a broad range of subjects and outcomes under demanding time frames.
Personal Attributes, Skills & Competencies:
  • Strong understanding of Kenyan corporate and educational laws.
  • Ability to manage multiple stakeholders and sensitive information effectively.
  • Proficiency in legal and administrative software tools.
  • Strong administrative skills: Ability to manage complex administrative tasks, maintain accurate records, and ensure compliance with governance regulations.
  • Excellent communication skills: Effective written and verbal communication skills, with the ability to draft minutes, reports, and other documents.
  • Board governance expertise: Understanding of governance principles, practices, and procedures for universities.
  • Discretion and confidentiality: Ability to maintain confidentiality and handle sensitive information with discretion.
  • Organizational skills: Strong organizational skills, with the ability to prioritize tasks, manage multiple projects, and meet deadlines.
  • Attention to detail: High level of attention to detail, ensuring accuracy and precision in all aspects of the role.
  • Interpersonal skills: Ability to build strong relationships with board members, university administrators, and other stakeholders.
  • Minute-taking: Ability to take accurate and concise minutes during board, council
  • and senate meetings.
  • Record-keeping: Ability to maintain accurate and up-to-date records, including board meeting minutes and resolutions.
  • Compliance: Understanding of relevant laws, regulations, and policies governing the governance of university education.
